Terms of Service

Effective January 1, 2025. Governs your access to and use of NeuralCare AI services, APIs, and software.

1. Acceptance of Terms

By accessing or using any NeuralCare AI Inc. service, API, software, or website (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

NeuralCare AI provides GPU-accelerated clinical decision intelligence software, including deep learning inference models, APIs, federated learning infrastructure, and supporting documentation. The Services are intended for use by qualified healthcare professionals and healthcare organizations as clinical decision support tools. NeuralCare AI products are not FDA-cleared medical devices unless expressly stated in the applicable product documentation.

3. Eligibility and Account Registration

You must be at least 18 years of age and authorized to use the Services under applicable law. You agree to provide accurate, current, and complete registration information and to maintain the security of your API credentials. You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree to use the Services only for lawful purposes consistent with these Terms. You may not: (a) reverse-engineer, decompile, or disassemble any component of the Services; (b) use the Services to make automated clinical decisions without appropriate clinical oversight; (c) share API credentials with unauthorized parties; (d) use the Services to process data in violation of applicable healthcare privacy laws including HIPAA, GDPR, or local equivalents.

5. Data Processing and HIPAA

NeuralCare AI will execute a Business Associate Agreement (BAA) with covered entities prior to any processing of Protected Health Information (PHI). All PHI processed through NeuralCare's APIs is encrypted in transit (TLS 1.3) and at rest (AES-256). NeuralCare's federated learning architecture is designed such that raw patient data does not leave the customer's institutional boundary.

6. Intellectual Property

NeuralCare AI and its licensors retain all rights, title, and interest in the Services, including all model weights, algorithms, software, and documentation. Your use of the Services does not grant you any ownership rights. Inference outputs generated through the API may be used by customers for clinical and operational purposes.

7. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS." NEURALCARE AI MAKES NO WARRANTY THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY CLINICAL OUTPUT WILL BE ACCURATE OR COMPLETE. IN NO EVENT WILL NEURALCARE AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SERVICES. TOTAL LIABILITY SHALL NOT EXCEED FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
